They are functionally the same. Benefits the RC3200 has over the NEO:
1. 2 additional hard buttons.
2. ability to "paste" IR codes found in other sources (like Pronto CCF files) with newest firmware.
3. Ability to learn Lutron codes and other problematic codes (newest version of product).
4. 3year warranty
I don't think (but don't know for sure) the NEO has added items 2 and 3 to their product.
Cons:
Costs considerably more.
